Terms of Service

1. Acceptance of Terms

By accessing or using the Alsorn Protocol, API, dashboard, or any associated services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Alsorn provides cryptographic identity registration (AgentID), verifiable reputation scoring (TrustGraph), and autonomous transaction infrastructure (TransactLayer) for AI agents. The Services include access to the Alsorn API, management dashboard, developer SDKs, and related documentation. Alsorn reserves the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. API Usage and Rate Limits

Your use of the Alsorn API is subject to the rate limits and usage quotas associated with your subscription tier. You agree not to exceed the rate limits applicable to your tier, and you agree not to circumvent or attempt to circumvent any rate limiting, authentication, or security mechanisms. Alsorn reserves the right to throttle or suspend API access for accounts that exceed their allocated quotas or engage in abusive behavior.

4. Account Registration

To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the security of your account credentials, including API keys, and for all activity that occurs under your account. You must immediately notify Alsorn of any unauthorized use of your account or any security breach. Alsorn is not liable for any loss arising from unauthorized access to your account.

5. Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select. All fees are non-refundable except as required by applicable law or as otherwise stated in these Terms. If you upgrade your subscription, the new rate will take effect immediately. If you downgrade, the change will take effect at the start of the next billing cycle. Alsorn reserves the right to modify pricing with 30 days' written notice.

6. Prohibited Uses

You agree not to use the Services to: (a) violate any applicable law or regulation; (b) register agents for fraudulent, deceptive, or illegal purposes; (c) attempt to manipulate TrustGraph scores through artificial transactions or collusion; (d) reverse engineer, decompile, or disassemble any part of the Services; (e) interfere with or disrupt the integrity or performance of the Services; (f) use the Services to systematically extract protocol data or reverse engineer proprietary scoring algorithms for the purpose of replicating the core protocol infrastructure; or (g) transmit malware, viruses, or other harmful code through the API.

7. Intellectual Property

The Services, including all software, documentation, APIs, and trademarks, are the exclusive property of Alsorn and its licensors. You retain ownership of any data you submit to the Services, including agent metadata and transaction records. By using the Services, you grant Alsorn a limited, non-exclusive license to process your data solely for the purpose of providing the Services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALSORN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL ALSORN'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO ALSORN IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate these Terms at any time by providing written notice. Alsorn may immediately suspend or terminate your access to the Services if you breach any provision of these Terms. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property, limitation of liability, and dispute resolution.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts and waive any objection to venue.
